Terms and Conditions

1 · Introduction

Averisana provides a cloud-based generative AI application (“Platform”) designed for licensed producers, brokers, and financial professionals to access and utilize a knowledge base of life insurance field underwriting guides. The Platform supports informed, rapid, and accurate underwriting decisions, increasing productivity and streamlining operations for users.

2 · Definitions

Platform: Proprietary technology and intellectual property owned or licensed by Averisana, including all software, hardware, documentation, methods, designs, and enhancements developed during the term of this agreement.

User: Licensed producer, broker, financial professional, or technical evaluator authorized to use the Platform.

3 · User Responsibilities

• Users must ensure all documents in the knowledge base are current and accurate and confirm their authorization to use such documentation.
• Users may only use the Platform for evaluation or as permitted by their professional role.
• Users are responsible for maintaining the confidentiality of their credentials and must not share access with others.
• Users must critically evaluate Platform responses using their best business judgment before making customer service decisions.

4 · License and Ownership

4.1 Limited License

Averisana grants users a limited, non-exclusive, non-transferable license to use the Platform solely for evaluation purposes until access is terminated or a subscription agreement is executed.

No other rights or licenses are granted beyond those expressly stated.

4.2 Intellectual Property

Averisana and its licensors retain all rights, title, and interest in the Platform, services, documentation, and any modifications or derivative works.

Users may not:

• Modify, copy, or create derivative works from the Platform or documentation.
• License, sell, rent, transfer, or distribute the Platform or documentation to third parties except as expressly permitted.
• Reverse engineer, decompile, or attempt to access the Platform’s underlying software, except as required by law.
• Use the Platform to develop competing products or services.

5 · Acceptable Use and Prohibited Activities

Users must not use the Platform to:

• Incite violence or harm minors.
• Transmit illegal, fraudulent, or harmful material.
• Send unsolicited advertising or spam.
• Impersonate others or misrepresent identity.
• Infringe on intellectual property rights or make unauthorized copies of materials.
• Interfere with Platform security, operations, or other users’ access.
• Circumvent security, use unauthorized access methods, or attempt to disrupt services (e.g., denial of service attacks, introducing malware).
• Use the Platform for any unlawful, unauthorized, or prohibited purposes.

Averisana reserves the right to monitor usage, remove materials, and cooperate with legal authorities as needed.

6 · Security

While Averisana strives to maintain Platform security, users acknowledge that electronic data transfers may be susceptible to interception.

Users must comply with security instructions and are prohibited from attempting to breach Platform security, access unauthorized data, or interfere with operations.

Violations may result in civil or criminal liability and termination of access.

7 · Data Security and Confidentiality

Averisana will maintain all de-identified personal information in strict confidence, using appropriate safeguards to prevent unauthorized access or disclosure.

Personal information will only be used or disclosed as required by law or for the purposes outlined in this agreement.

Disclosure to unauthorized third parties is prohibited except as required by law or government authorities.

8 · Termination

Averisana may terminate user access at its sole discretion, without prior notice, for violations of these terms or if required by law, technical issues, or business reasons.

Upon termination, users lose access to all data and materials on the Platform and may not re-register under a new account.

Provisions intended to survive termination will remain in effect.

9 · Modifications and Notices

Averisana reserves the right to modify these terms or Platform features at any time, with or without notice.

All notices must be in writing and delivered to the designated addresses in English.

10 · Governing Law and Jurisdiction

This agreement is governed by the laws of the State of Illinois, USA, excluding its conflict of law provisions.

The federal and state courts in Chicago, Illinois have exclusive jurisdiction over disputes related to this agreement.

11 · Disclaimers and Limitation of Liability

The Platform and services are provided “as is” without warranties of uninterrupted or error-free operation.

Averisana disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Liability for damages is limited to the fees paid in the twelve months preceding the event giving rise to a claim, except for payment obligations or violations of Averisana’s intellectual property rights.

Users agree to indemnify Averisana for claims arising from misuse, breaches, or violations of third-party rights.

12 · Entire Agreement and Severability

This document, along with any applicable Services Agreement with Averisana, constitutes the entire agreement between the parties, superseding all prior agreements.

Any changes or waivers must be in writing and signed by both parties.

If any provision is held invalid, the remainder will remain in effect unless it materially prejudices either party.

By accessing or using the Averisana Platform, you acknowledge and agree to abide by these Terms and Conditions.
